1. Agreement to these terms

These Terms of Use ("Terms") govern your use of earthbasedinstitute.org and any pages or subdomains we operate (the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms are a contract between you and Earth-Based Institute, a Colorado company ("EBI," "we," "our," "us").

These Terms do not govern enrollment in our programs. Program enrollment is governed by separate enrollment agreements signed at the time of application or registration.

2. Who can use the Site

The Site is intended for adults 18 years of age or older. By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. What the Site provides

The Site provides information about EBI, our programs, our faculty, our methodology, events, and related resources. It is informational. The Site is not a substitute for coaching, therapy, medical advice, mental health treatment, or any other professional service.

Enrollment, payment, and program delivery happen through separate systems. The Site routes you to those systems but is not itself a transactional platform.

4. Intellectual property

Our content. Everything on the Site, including text, images, video, audio, graphics, design, logos, and the underlying compilation, is owned by EBI or licensed to us. This includes our Nature-Connected Coaching (NCC) methodology, the NBIC framework, the INCC and Community Council Fire frameworks, our training materials, lesson content, faculty writing, and our brand assets. All rights are reserved.

You may view the Site for personal, non-commercial purposes. You may share links to public pages. You may not copy, reproduce, modify, distribute, publicly display, publicly perform, republish, scrape, or create derivative works of any content on the Site without our written permission, except as permitted by fair use under U.S. copyright law.

Our trademarks. "Earth-Based Institute," "Nature-Connected Coaching," "NCC," "NBIC," "INCC," and related marks are trademarks of EBI. You may not use them without our written permission, except to identify EBI in factual and non-misleading ways (such as a student describing their training).

Your content. If you submit content to us through the Site (such as a testimonial, a comment, or content shared with our team), you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, adapt, and display that content for our business purposes, including marketing. You can revoke this license for future use at any time by contacting us, but we are not obligated to remove content already published.

You represent that any content you submit is yours to share and does not infringe anyone else's rights.

5. Acceptable use

You may use the Site only for lawful purposes and in line with these Terms. You agree not to:

  • Use the Site in any way that violates applicable law
  • Use the Site to send unsolicited commercial communications
  • Impersonate any person or entity
  • Interfere with the operation of the Site, including by introducing malware, attempting to gain unauthorized access, or scraping content using automated tools
  • Use the Site to harass, threaten, defame, or harm others
  • Submit false or misleading information through any form on the Site
  • Use the Site to compete with EBI by copying or reverse-engineering our methodology, content, or business model

6. Third-party links and services

The Site contains links to third-party websites and services, including our application portal hosted by Ontraport, our community platform on Mighty Networks, our payment processor Stripe, and partner organizations. We do not control these services, do not endorse their content, and are not responsible for their availability, accuracy, or practices. Your use of third-party services is governed by their own terms.

7. Programs are governed separately

The Site provides information about our programs (NCC, NBIC, INCC, Council Fire, and others). Information on the Site is general and may not reflect current pricing, schedules, or program details. Anything binding regarding a program, including enrollment, tuition, refund policy, behavioral expectations, and the intellectual property of student work, lives in the program's enrollment agreement, which you sign separately.

If there is any conflict between information on the Site and a program enrollment agreement, the enrollment agreement controls.

8. No professional advice

Nothing on the Site constitutes coaching, therapy, counseling, medical advice, mental health treatment, legal advice, or financial advice. If you have a health concern, including a mental health concern, consult a qualified professional.

Nature-connected practices discussed on the Site, including time in wilderness or remote settings, carry inherent risks. You are responsible for assessing your own readiness and safety.

9. Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Site will be free of errors, viruses, or harmful components.

To the maximum extent permitted by law, EBI disclaims all warranties not expressly stated in these Terms.

10. Limitation of liability

To the maximum extent permitted by law, EBI and its officers, directors, employees, faculty, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, arising from or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising from or related to the Site will not exceed one hundred U.S. dollars ($100), or the amount you paid us for Site access in the twelve months before the event giving rise to the claim, whichever is greater.

Some jurisdictions do not allow these limitations, in which case they apply to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless EBI and its officers, directors, employees, faculty, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from or related to your violation of these Terms, your violation of any law, or your infringement of any third party's rights through your use of the Site.

12. Governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Boulder County, Colorado, and you consent to personal jurisdiction in those courts.

13. Dispute resolution

Before filing any claim, you agree to first contact us at info@earthbasedinstitute.org and attempt to resolve the dispute informally. If the dispute is not resolved within 60 days, either party may proceed to court.

14. Changes to these Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice through the Site or by email to people on our mailing list. Continued use of the Site after a change indicates acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including your violation of these Terms. The sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

16. Severability and waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.

17. Entire agreement

These Terms, together with our Privacy Policy, our Cookie Policy, and any program enrollment agreement you have signed, are the entire agreement between you and EBI regarding the Site, and they supersede any prior agreement on the same subject.
